Terms of Business

1. Business
Provision of service improvement and/or research services to include specific tasks requested by the organisation and agreed in writing (email or letter) to MuMac Consultancy.

2.Client Classification
Clients are likely to be an NHS or academic organisation although not exclusively so. Appointment to work will usually be through an individual representing that organisation or company.

3.The Contract
All contracts for the provision of services by MuMac Consultancy shall be deemed to be made upon and subject to these Terms of Business. All contracts shall be governed by English Law.

4.Paying for Services/ Fees
Not all consultancy firms charge the same way. The Senior Partner of MuMac Consultancy will discuss your payment options with you, as each contract is bespoke, and answer any questions you may have. All work and payment needs to be agreed prior to work starting.

5.Invoicing
Invoices will be sent out at the beginning of each calendar month for work undertaken in the previous calendar month. MuMac Consultancy fees are payable by cheque / BACS. Prompt payment of invoices is expected. If payment has not been received within 6 weeks of the invoice date any future work will be suspended until payment has been made, and interest will be charged on the payment of 2.0% above the Bank of England base rate on a per calendar month basis.

6.Expenses
To include travel (at the normal employee standard rate for car travel), second class rail journeys, accommodation (agreed with organisation prior to booking), subsistence for travel outside normal office hours i.e. before 9.00 and after 17.30.

7.Confidentiality

a) MuMac Consultancy is under a professional obligation to ensure that confidential information is not divulged to third parties.

b) Conversely reports and other documents prepared and advice given by MuMac Consultancy must not, without prior written permission from MuMac Consultancy, be disclosed to any third party.

c) No MuMac Consultancy materials maybe copied in part or whole by any method without written permission from MuMac Consultancy.

8.Limits of Liability
MuMac Consultancy undertakes to carry out the work to the best of its ability. All statements and advice given are made in good faith and on the basis of information available at the time. However, such statements and advice shall not be deemed in any circumstances to be undertakings, warranties or contracts.

9.Cancellation Terms
You may cancel any work that has been previously agreed more than one month from the agreed start date with no financial penalty. However work cancelled within a month of the agreed start date will be subject to the following:

– Cancellation of work agreed within 2 – 4 weeks of the start date 25% of the fee to be paid.
– Cancellation of work agreed within 0 – 2 weeks of the start date 50% of the fee to be paid.

b) All material on this site is copyright Mumac Consultancy2008-2009 unless otherwise stated. You are permitted to view the contents of this site on screen. You are also permitted to make copies of reasonable extracts from the site for your personal use or private study and to save reasonable extracts to your local hard disk for your personal use or private study. It is strictly forbidden to copy any material from this website for commercial use (other than as necessary for the purpose of viewing the site in the course of business). You also agree not to adapt, alter or create a derivative work from any Mumac Consultancy content except for your own personal, non-commercial use. Please note we do not have a generic ‘links’ page. We link to other sites as and when we feel it adds value to the content on our site. The decision to link is an editorial one. We do not generally link to commercial enterprises of any nature except those that we have an affinity partnership with.

e) Content on the Mumac Consultancy website, including the information, names, images, pictures, logos and icons regarding or relating to Mumac Consultancy, its services (or to third party products and services), is provided without any representations or any kind of warranty made (whether express or implied by law), including the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.

f) Mumac Consultancy will not be liable for any damages, including indirect or consequential damages, or any damages arising from use or loss of use, data or profits, arising from or in connection with the use of the website. Although we will do our best to provide constant, uninterrupted access to the website, we do not guarantee this. We accept no responsibility or liability for any interruption or delay.

g) Mumac Consultancy does not warrant that functions contained in the website’s content will be uninterrupted or error free, that defects will be corrected, or that the website or the server that makes it available are free of viruses or bugs. You must take your own precautions in this respect as we accept no responsibility for any infection by virus or other contamination or by anything which has destructive properties.
